Terms and Conditions


Your contract is with The Innovatory (registered as Hoxton Bibliotech)

Provisional Bookings - Provisional bookings will be confirmed via email or telephone. Provisional bookings act as offers made by you and are subject to our acceptance.

Confirmed Bookings - The booking confirmation that we send to you acts as our acceptance of your offer and a legally binding contract is formed and these terms and conditions shall apply. No booking will be confirmed until payment has been received in full.
 
Fees and Payment - All course fees are payable upon confirmation of booking and an invoice will be sent to you. Bookings cannot be secured until payment of the invoice is received. Clients will not be permitted to join the course until payment is received in full. All payment transactions between The Innovatory and the client are confidential and should not be disclosed to outside parties. The Innovatory reserves the right to cancel a course with no requirement for refund if confidentiality is breached.  

Transferring Courses - Transfer (courses or course dates) requests must be made in writing and received at least 21 working days before the event or our standard cancellation charges will apply. Transfers do not become effective until notification is received, and confirmed, by The Innovatory.

Cancelling Courses - If a client wishes to cancel a course they must do so as soon as possible. Cancellation charges may apply and are outlined below. In the instance of failure to notify The Innovatory, the client will be invoiced in full with no possibility of reimbursement of any fees paid. Cancellations do not become effective until notification is received, and confirmed, by The Innovatory.

Substitute delegates will be accepted at any time but we must be notified in writing of such substitution. The new delegate must fulfil the course pre-requisite requirements.
 
All information provided will be held by us and may be used to keep you informed of future events, products and services provided by The Innovatory.

Cancellation charges
Less than 15 working days notice – 100% of course fee
15 -20 working days notice – 50% of course fee
21 or more - working days notice; no charge payable

Non-attendance -  by you will not entitle you to a credit or refund of the course fee or to any other form of compensation from us unless you have given us the appropriate notification of your non-attendance as specified in our ‘Cancellation’ terms.

Funded Courses - Non-attendance or cancellation by delegates on funded courses will also incur a cancellation charge. This charge will be invoiced accordingly and delegates will not be able to attend any further training at The Innovatory until such cancellation charge has been paid. The cancellation charge will be calculated as follows:

Cancellation / Amendment of Courses - Courses at The Innovatory are constantly updated and improved and The Innovatory reserves the right to alter any of the courses’ content without prior notice. The Innovatory reserves the right to cancel a course at any time without liability. In these circumstances, delegates will be offered an alternative date, an alternative course or a full refund. The Innovatory reserves the right to change the venue at any time and without prior notice from when published. We will have no other liability for changes to your training course other than those set out in these terms and condition, and no other claim for compensation or expenses will be considered.

To ensure the highest quality training to all clients, The Innovatory reserves the right to remove any delegate from a training course if, in the opinion of the trainer, such delegate does not meet the prerequisite standard of skills for that course as defined in the course outlines. No refund whatsoever will be made in this instance. The innovatory will, however, offer to re-book the delegate an alternative, more suitable course (in the event that a suitable course exists), for a re-booking charge of 25% of the cost of this alternate course. The Innovatory reserve the right to remove any delegate as a result of disruptive behaviour. In such circumstance The Innovatory will not offer any dates or refunds of fees already paid.

Rights - You will not acquire any proprietary right, title or interest in any intellectual property rights owned by us, including but not limited to the course material or trade marks owned by us. We will use all reasonable efforts to ensure that all course material is correct and complete at the time of publication. However, we make no warranty that such material is correct and will not be liable for any damage incurred by you upon reliance to any information disclosed during the course.

You undertake not to: Claim any proprietary title or interest in or to our course material or any other material or publications that we may provide.
- Register of trade using any trade mark, device or logo used by us to identify your goods or services including our trading name “The Innovatory” or any mark, device or logo colourably or confusingly similar.
- Use our trading name “The Innovatory” in your business whether for promotional, advertising or other purposes without our prior written consent.

We undertake not to - claim any proprietary right, title or interest in your intellectual property rights and agree to use your name or your company’s name in our promotional literature only with your consent. 

Confidentiality - Both parties agree to keep all information relating to the other party’s business or clients confidential and not to disclose any such information without the disclosing party’s consent. The obligation of confidence does not apply to any information that is already in the public domain or was at the receiving party’s knowledge at the time of disclosure by the disclosing party.

Policy - The Innovatory shall under no circumstances be liable for any loss of profit. The Innovatory operates a non-smoking policy throughout the building. No food or drink shall be consumed whilst in the training suites. The Client shall not approach, make, or permit an offer regarding employment to any trainer or consultant provided by The Innovatory for a 12-month period from the time of the service. If in any event, the trainer or consultant does work for the client within this period, a £10,000 introduction fee will be charged and payable immediately.

The contract is made on the terms of these bookings conditions which are governed by English Law and all parties shall submit to the jurisdiction of the English Courts at all times.
